On July 18, 2003 the shareholders, the CEO and the Supervisory Board of ABAS Software AG met for the shareholders' meeting in the Renaissance Hotel, Karlsruhe / Germany. Chairman of the Supervisory Board, Peter Walser, and Chairman of the Executive Board, Werner Strub, reported on the business trend of ABAS Software AG to the shareholders which were present.

Making Profits in 2002 - a slow year for ERP

2002 has been a difficult year for the IT industry, being affected by recession and a decrease in investments. Despite this and a decrease in turnover, ABAS (www. abas. de) has managed to come out of the red for a ninth year running. Although this was a more moderate income than in previous years, it demonstrates careful cost management. The overall performance of the Karlsruhe software manufacturer was kEUR 5,928 in 2002, in comparison to kEUR 6,864 in 2001. The resulting figure from ordinary operations was kEUR 18. The equity capital at kEUR 2,506 remained almost unchanged when compared to 2001. The equity capital amounts to 80% of the balance sheet total. In comparison: medium-sized businessÂ’ in Germany have an average equity capital of only 18%. On the basis of excellent liquidity, ABAS is financially independent and finances itself using its own resources. The Board of Management and the Board of Directors left the shareholdersÂ’ meeting in 2002 after having made a unanimous decision. The annual shareholders' meeting approved a distribution of company profits as follows: 4 % for the common shares and 8 % for the preferred shares. The basis for valuation for the distribution is the nominal value of the share.

Continued Success with the Software Partner Network

A network of software partners is responsible for the sale of ABAS products. This method of sales proved very successful – for all parties involved. There were good results in the German speaking area, and also Spain and Hungary, during the reporting period. The expansion abroad in 2002 has certainly paid off, and will continue in the year 2003. It is because of this that ABAS was able to win over software partners in the expanding Asia-Pacific region in countries, such as Indonesia, Malaysia, Hong Kong, Thailand, China and Australia in 2003. The abas Partner Network also expanded in Europe and North America. Qualified abas Software Partners are responsible for distribution and sales, support and service for abas Business Software in the Czech Republic, Slovenia, Bulgaria, the Netherlands and Canada. Software partnerships in more countries are being planned. International software license turnover is already 15% and is increasing steadily. There is also the positive aspect of the company becoming gradually more independent of the domestic market.

Substantial Growth

Werner Strub, CEO, expanded on the company outlook: „ABAS is setting the course for healthy growth in the future. Elementary developments of abas Business Software, such as ERP web applications, are being increasingly demanded on the market. ERP software on Linux is now more important than ever on the IT market. The ABAS customers and ABAS themselves profit hugely from this expanding area. The level of prominence of ABAS has increased substantially in the past years. abas Business Software stands for quality, competence, innovation, modern technology, service and a high level of customer satisfaction. In the first 6 months of 2003 there has been a distinct increase in the incoming orders compared to the first 6 months of 2002: 65% more software licenses for workstations were sold. We anticipate a further increase in comparison to last year when we have the 2003 trading results.
