"A lot of people aren't aware that reefs provide many benefits beyond scuba diving, snorkeling, and fishing. Further studies suggests cocoa may be richer in antioxidants than drinks like tea and red wine.

Conventional hot chocolate is loaded with sugar. Here is an amazing cocoa recipe that is low in carbs and sugars yet is really delicious. I have this almost every morning during the winter months. You have to try it, seriously.

Ingredients:
1/4 cup unsweetened cocoa powder
1/3 cup Steviva Brand Stevia Blend, Fructevia or 1/16 tsp of Steviva Brand Stevia Powder
1/2 teaspoon ground cinnamon
1/2 teaspoon ground cardamom
1/2 teaspoon ground nutmeg
1/8 teaspoon salt
3 1/2 cups milk
1/2 cup hot water
1 teaspoon vanilla extract

Preparation:
In a saucepan, combine cocoa, Steviva Brand Stevia Blend, Fructevia or Steviva Brand Stevia Powder, cinnamon, cardamom, nutmeg, and salt. Blend in hot water. Although no one would purchase a business without reviewing the obvious: study the financial statements, inspect the assets and inventory, run a Dun and Bradstreet report, review all various tax returns, inspect accounts receivables and payables and check with sources in the industry about their reputation, in too many instances, that is not enough.

Our detective agency is regularly hired to assist attorneys in cases arising from purchasers who did the obvious but nothing more and ended up losing their entire investment. Not convinced? In a recent case, our client was prepared to lay the money on the table when their attorney convinced them to let us have a look. Our investigation quickly revealed that the company in question had no insurance, yet the books indicated that they were making payments for insurance premiums, several of their key clients did not exist or were now defunct entities, other vendors were actually owned by family members, several employees were being paid in cash and the sales manager had formed a new company that appeared poised to compete against them after the sale.

The good news is that as private detectives, we are frequently asked to assist clients with Due Diligence Investigations, including those of businesses being considered for acquisition. A due diligence investigation can be customized to address the specific attributes of a particular company and the cost should be proportionate to the task.

What we investigate:

 Conduct a search for any litigation history. Prior lawsuits against the company can tell you a great deal about what’s really going on.  Conduct a search for other businesses owned or controlled by the selling parties. Far too many people have the entrepreneurial spirit and would sell you their business…. only to have a similar business or interest that may end up competing against you.  Check public records, licensing and governmental filings for completeness and accuracy. Are there prior bankruptcies? Were licenses ever revoked? In others names? Never filed? etc.  Verify the receivables are valid and with unrelated parties. Who really owes them money and do they acknowledge the debt and agree to it.  Interview employees and vendors about the health of the business. These people know what’s really going on. They know about the business and managements reputations. They know if business is really down 30%, if a major client is unhappy with them, if their habits have changed, if any employees have been laid off or let go recently, if they have bad leadership, etc.

 When the stakes are high enough, we have also conducted limited surveillance of the business, owners and key employees to see what they are actually doing, if inventory is moving, if things are being puffed up to look good for the potential buyer visits, etc. A private detective specializing in this type of work can obtain the information you need to make an informed decision about your prospective purchase quicker and more cost effectively than an accountant or attorney. “Unfortunately, on far too many occasions we find that the business in question was not as healthy as reported on the books and the seller was intentionally overstating the value. Not hiring a firm like ours to conduct reliable due diligence before purchasing a business is like deciding to perform surgery on yourself. The consequences are obvious.” reports Paul Dank, principal with Advanced Surveillance Group, a Michigan based private detective agency specializing in due diligence investigations of corporations.

Before a business owner shares sensitive information with you, you may be asked to sign a confidentiality agreement. It assures the owner that you’ll use the information only to check out the business, and not for any other reason. Make sure the confidentiality agreement lets you share the information with your lawyer and accountant. It is also necessary to gain access to the real information you need to make good decisions.

One area that just about every client of a payroll processor is paying too much for is Section 125 Premium Only Plan (POP) administration. – Payroll processing has become an extremely competitive business; many payroll companies have come up with creative ways to overcharge unsuspecting clients for questionable services in order to pump up their bottom line. Are you paying too much for payroll processing? It depends on who’s processing your payroll, how many services you’ve requested, and how many reports they provide.

One area that just about every client of a payroll processor is paying too much for is Section 125 Premium Only Plan (POP) administration. Section 125 is the part of the Internal Revenue Code that allows employees to pre-tax, or avoid paying taxes, on their portion of employer sponsored insurance premiums. Most employers pay for all or most of the employeeÂ’s portion of health insurance, however, the employee normally pays for part of their own premium, and the full cost for their dependent coverage. The Section 125 POP saves the employee approximately 30% in income and FICA taxes on this portion of the cost, and saves the employer approximately 7.65% in matching FICA taxes. Clients may also want to verify that the payroll processor is actually applying the employerÂ’s 7.65% FICA discount; otherwise this could be another large windfall profit center for the payroll processor instead of the client. This becomes a much bigger issue as the cost of health insurance continues to double every four years.

A recent survey found that payroll processors are charging their clients between $30.00 and $50.00 per month for Section 125 POP administration, and some payroll processors charge an additional $5.00 to $10.00 per month per employee, over and above the monthly fee. This averages between $360.00 and $1,500.00 annually, year after year. Clients are usually shown that their FICA tax savings more than offset these high fees, (if theyÂ’re actually receiving it). This effectively moves those savings out of the clients pocket and into theirs. Skip to the end of the article for a low cost solution to these charges.

One well known payroll processor routinely use IRS audit horror stories about large fines to scare clients who question the high fees. Many more payroll processors routinely, and falsely, tell their clients the high fees also include filing the annual IRS Form 5500, a requirement that was suspended by the IRS for Section 125 plans in 2002. These companies also imply that this is much too difficult for the client to administer themselves, while they routinely assign the task to their lowest paid employees. This is evidenced by the volume of uneducated remarks these employees consistently make.

What does the payroll processor actually do for those monthly fees? In reality theyÂ’re doing very little, almost nothing compared to the cost. This is what they donÂ’t want you to know.

HereÂ’s what is required to take advantage of the tax savings under a Section 125 Premium Only Plan:

The IRS requires that the sponsoring company maintain a formal Plan Document Every employee must sign an election form 30 days prior to the new Plan Year Every employee should receive a copy of a Summary Plan Description or SPD Once a year the group should perform nondiscrimination testing to ensure the plan is not discriminating in favor of highly compensated or key employees Only employees are allowed to participate in Section 125 plans

Back to the question; what is the payroll processor actually doing for the fees they charge? TheyÂ’re providing the Plan Document and the SPD, and they may be providing the annual nondiscrimination testing. Everything else is done by the client. The client collects and forwards the employee election forms to the payroll processor who enters the deductions into their program as a pre-tax deduction instead of a post-tax deduction. The employee deductions are left in the client bank account and the client pays the insurance premium to the carrier themselves.

Your next question should be; what is this Section 125 POP service really worth? Researchers in the Netherlands investigated novel α-lactalbumin nanotubes with potentially interesting applications in the food and pharma industries.

Under certain conditions, partial hydrolysis of the milk protein α-lactalbumin by a protease from Bacillus licheniformis (a large, aerobic bacillus that produces endospores) leads to self-assembly of nanotubes several micrometers in length. One potential application of these long, stiff nanotubes is as controlled-release drug delivery agents.

Because α-lactalbumin is a milk protein, it will be fairly easy to apply the nanotubes in food applications as a novel ingredient with specific functionality. Furthermore, α-lactalbumin has significant nutritional properties and is associated with some positive health effects upon consumption.

Joanke Graveland-Bikker, who now is at the Center for Biomedical Engineering at MIT but co-authored this article while she was at NIZO food research, and Professor Cornelis de Kruif from the Van’t Hoff Laboratory for Physical and Colloid Chemistry at Utrecht University investigated these novel nanotubes.

Their recent paper (in press) titled "Unique milk protein based nanotubes: Food and nanotechnology meet", was published online in the Feb. 21, 2006 edition of Trends in Food Science & Technology.

"An important issue for example in food applications is the stability of the α-lactalbumin nanotubes under a variety of conditions" Graveland-Bikker explained to Nanowerk. "In our experiments it appeared that these nanotubes could withstand some important treatments, such as those, which might be encountered in industrial manufacturing processes and applications."

"They withstand conditions similar to a pasteurisation step (40 seconds at 72°C) and they withstood a freeze-drying treatment" she says.

"Another important feature for applications, controlled release in particular, is the controlled disassembly of the α-lactalbumin nanotubes" says Graveland-Bikker. Disassembly can be induced by decreasing the Ca²+ concentration. "Simply by varying the Ca²+ concentration in the solvent the disassembly rate can be controlled," she says.

What makes the α-lactalbumin nanotubes interesting for industrial food applications is their high aspect ratio, their relative stiffness, their nanometre-sized cavity and the ability of controlled degradation. This could make them useful as viscosifying agent (because of the high aspect ratio and their stiffness) and as gelation agent for strong, transparent gels where gel formation could be made reversible.

"Perhaps most importantly" Graveland-Bikker says "because of their cavity, the α-lactalbumin nanotubes could well serve as vehicles for drugs or other encapsulated molecules, such as vitamins and enzymes, or protect or mask encapsulated compounds."

IT Skills Most Lacking Amongst Voluntary Healthcare Employees Claims New Skills for Health Sponsored Research

New research commissioned by the UK Workforce Hub and sponsored by Skills for Health (SfH) - the sector skills council for the NHS, independent and voluntary healthcare sectors - has identified the main skills gaps and skills shortages faced by employers in the voluntary healthcare sector.

The research examined the nature, scope and impact of skills gaps and shortages in paid employees within the voluntary sector in 2007. In terms of skills gaps - where healthcare employers in the voluntary sector report having employees who are not fully proficient at their job - the top ten gaps cited were:

1. Strategic use of IT (26 per cent)
2. Fundraising skills (24 per cent)
3. Communication skills (21 per cent)
4. Marketing skills (19 per cent)
5. Health and safety skills (19 per cent)
6. Team working (17 per cent)
7. Strategic planning and forward thinking skills (17 per cent)
8. Leadership skills (16 per cent)
9. Monitoring and evaluation skills (14 per cent)
10. Legal knowledge (14 per cent)

Two-fifths of employers within the voluntary healthcare sector report an 'increased time taken to deliver work' as a result of their employees' skills gaps, but the most frequently reported impact was 'increased workload'.

'Communication skills' was top of the list of skills shortages reported by healthcare employers in the voluntary healthcare sector (23 per cent); followed by 'the strategic use of IT' (16 per cent) and 'team work' (14 per cent). Skills shortages are those 'hard to fill' vacancies which are the result of a lack of required basic or specialist skills, qualifications or experience in job applicants.

Healthcare was the third most likely function to experience these hard to fill vacancies, less than one percentage point behind Youth Work and Social Care Provision.

Commenting on the findings, John Rogers, Chief Executive of Skills for Health said:

"This report raises some challenges for the healthcare sector as a whole which need to be addressed in partnership between individuals, organisations and government. The findings will help refine Skills for Health's work towards developing a skilled, flexible and productive workforce for the entire healthcare sector in England."
